Welcome to Babay! These Terms of Service ("Terms") govern your use of the Babay website at babay.ai and the Babay mobile application (together, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.
Important Medical Disclaimer
Babay provides general parenting information for educational purposes only. Our Service is NOT a substitute for professional medical advice, diagnosis, or treatment. Always consult your pediatrician or qualified healthcare provider with questions about your child's health. If you think your child may have a medical emergency, call your doctor or emergency services immediately.
1. Acceptance of Terms
By creating an account or using Babay, you confirm that:
- You are at least 18 years of age
- You are a parent, guardian, or caregiver of a child
- You agree to these Terms and our Privacy Policy
- You understand that Babay provides informational content only, not medical advice
2. Description of Service
Babay is an AI-powered parenting service available on the web and as an iOS mobile app that:
- Provides answers to common parenting questions, aggregating information from trusted medical and parenting sources and showing consensus with confidence scores
- Offers "myBabay" tools to track your child's development, including milestones, growth measurements, vaccines, feeding/sleep/diaper logs, food and allergen introduction, and "firsts" with optional photos
- Offers "BabayCam," a feature that lets you use a device as a baby monitor and share a private viewing link
- Allows you to save questions and personalize your experience
3. Account Registration
To access certain features, you may create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your password and account
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscriptions, Free Trial, and Payments
Babay offers a premium subscription that unlocks the full Service. Some features are available free; others require an active subscription after your free trial ends.
Free trial. New accounts receive a 7-day free trial of premium features. No payment information is required to start the trial. When the trial ends, continued access to premium features requires a paid subscription. We do not automatically charge you when the trial ends — you choose whether to subscribe.
Subscription plans (in the iOS app). Premium is offered through Apple In-App Purchase in the following plans:
- Monthly — auto-renewable subscription, $4.99 per month
- Annual — auto-renewable subscription, $14.99 per year
- Lifetime — a one-time, non-consumable purchase, $29.99
Prices are shown in the app in your local currency and may vary by region; the prices above are indicative. The exact price, plan title, and billing period are presented to you at the point of purchase before you confirm.
Auto-renewal terms (monthly and annual plans). By purchasing an auto-renewable subscription, you agree that:
- Payment is charged to your Apple ID account upon confirmation of purchase.
- Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period.
- Your account is charged for renewal within 24 hours prior to the end of the current period, at the price of the plan you selected.
- You can manage your subscription and turn off auto-renewal in your Apple ID Account Settings after purchase.
- Any unused portion of a free trial period is forfeited when you purchase a subscription, where applicable.
Managing and cancelling. You manage and cancel auto-renewable subscriptions through your device: Settings > [your name] > Subscriptions (or the App Store > your account > Subscriptions). Cancelling stops future renewals; it does not retroactively refund the current period. Deleting the app does not cancel a subscription.
Refunds. Purchases made through Apple In-App Purchase are subject to Apple's refund policies. We do not process payments directly for in-app purchases and generally cannot issue refunds for them; refund requests must be made to Apple at reportaproblem.apple.com.
Changes to pricing. We may change subscription prices. If a price change affects your existing subscription, we will provide notice as required, and where required by Apple or applicable law, your consent will be obtained before the change takes effect.
5. Acceptable Use
You agree NOT to use Babay to:
- Seek emergency medical advice (call 911 or your local emergency number instead)
- Replace consultation with qualified healthcare professionals
- Upload or transmit harmful, illegal, or inappropriate content
- Attempt to access, tamper with, or use non-public areas of the Service
- Interfere with or disrupt the Service or servers
- Scrape, crawl, or use automated means to access the Service without permission
- Impersonate others or misrepresent your affiliation
- Use the Service for any commercial purpose without authorization
6. User Content and BabayCam
You retain ownership of content you submit, such as your child's information, photos, logs, and any camera streams you create with BabayCam. You grant us a limited license to store and process this content solely to operate the Service for you.
BabayCam lets you generate private viewing links. You are responsible for who you share these links with. Camera frames are transmitted to provide the monitor feature and are stored only transiently to deliver the live view; you can stop a session at any time. Only share viewing links with people you trust.
7. Intellectual Property
The Babay Service, including its content, features, and functionality, is owned by Babay and protected by intellectual property laws. You may not:
- Copy, modify, or distribute our content without permission
- Use our trademarks, logos, or branding without authorization
- Remove any copyright or proprietary notices
8. Third-Party Services
Our Service may include links to third-party websites or integrate with third-party services (such as Google, Facebook, and Apple for sign-in, and Apple and RevenueCat for processing in-app purchases). We are not responsible for:
- The content, privacy practices, or policies of third-party services
- Any transactions or interactions you have with third parties
Your use of third-party services is subject to their respective terms and policies.
9. Information Accuracy
While we strive to provide accurate and up-to-date information:
- We aggregate information from various sources and present consensus views
- Medical and parenting guidelines may change over time
- Information may not apply to every child or situation
- We cannot guarantee the accuracy, completeness, or timeliness of all content
When to Contact Your Pediatrician
Our Service is designed to help with general questions and provide peace of mind. However, you should always contact your pediatrician or healthcare provider for: specific medical concerns about your child, symptoms that worry you, medication questions, developmental concerns, routine check-ups, and any situation where you're unsure.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING:
- MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
- UNINTERRUPTED OR ERROR-FREE OPERATION
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BABAY SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, data, or goodwill
- Any damages arising from your use or inability to use the Service
- Any damages arising from reliance on information provided by the Service
- Any health outcomes related to information obtained through the Service
Our total liability shall not exceed the amount you paid to use the Service (if any) in the twelve months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Babay, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
13. Modifications to Service and Terms
We reserve the right to:
- Modify, suspend, or discontinue any part of the Service at any time
- Update these Terms at any time
We will notify you of significant changes by posting the updated Terms and revising the "Last updated" date. Continued use after changes constitutes acceptance of the new Terms.
14. Termination
You may stop using the Service at any time. We may terminate or suspend your access immediately, without notice, for:
- Violation of these Terms
- Conduct that we determine is harmful to other users or the Service
- Any other reason at our sole discretion
Upon termination, your right to use the Service will cease immediately. An active auto-renewable subscription continues to be governed by Apple's terms until you cancel it through your Apple ID account settings.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Brevard County, Florida.
16. Dispute Resolution
Before filing any legal claim, you agree to try to resolve the dispute informally by contacting us at ryan@promediaone.com. We will try to resolve the dispute within 30 days. If we cannot resolve it informally, you agree that any dispute will be resolved through binding arbitration, except for claims that may be brought in small claims court.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Babay regarding the Service.
